StudyPal — Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and WATULAB DIGITAL ("StudyPal," "we," "us," or "our"), a company registered in Tanzania Mainland, governing your access to and use of the StudyPal platform, including our website, mobile applications, and all related services (collectively, the "Service").

Please read these Terms carefully before using the Service. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service — including by clicking "Sign Up," "Get Started," or any similar button, or by continuing to use the Service after updated Terms are posted — you confirm that:

(a) you have read and understood these Terms; (b) you are legally capable of entering into a binding agreement; and (c) you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the Service on behalf of an organization (such as a school, employer, or other institution), you represent that you have the authority to bind that organization to these Terms, and "you" in these Terms refers to that organization.

2. Definitions

"Content" means any text, notes, documents, images, audio, video, or other material.
"User Content" means any Content you upload, submit, store, or transmit through the Service.
"AI-Generated Content" means quizzes, answers, explanations, tutoring responses, or other outputs produced by the Service using artificial intelligence based on your User Content or prompts.
"Subscription" means a paid plan (Pro, Pro Max, or Super Pro Max) that provides expanded access to Service features.
"Free Tier" means the no-cost version of the Service with limited features and usage quotas.

3. Eligibility and Age Requirements

3.1 General Age Requirement

You must be at least 13 years old to create an account and use the Service. If you are between 13 and 17 years old (or the age of majority in your jurisdiction, whichever is higher), you may only use the Service with the consent and active supervision of a parent or legal guardian. By using the Service, you represent that you meet this age requirement.

3.2 Users Under 13

We do not knowingly allow children under the age of 13 to create accounts without verified parental consent. If we learn that a child under 13 has created an account without such consent, we will promptly take steps to terminate that account and delete associated data.

3.3 Parental Consent Process

If a parent or guardian wishes to allow a child under 13 to use the Service, they must contact us at info@watulab.com to initiate our parental consent process. We reserve the right to limit or restrict features available to verified minor accounts.

3.4 Responsibility of Parents and Guardians

If you are a parent or guardian who has consented to your child's use of the Service, you are fully responsible for your child's use of the Service, including any User Content they upload and any charges incurred.

4. Account Registration

4.1 Accurate Information

You agree to provide truthful, accurate, current, and complete information when creating your account, and to update that information promptly if it changes. Creating an account with false information — including a false name or age — is a violation of these Terms.

4.2 Account Security

You are responsible for keeping your password and account credentials confidential. You agree to notify us immediately at support@watulab.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage resulting from your failure to protect your credentials.

4.3 One Account Per User

You may only create and maintain one active account per person. Creating duplicate accounts (for example, to circumvent a suspension or usage limit) is prohibited.

4.4 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorized it. If you share your login credentials with others, you accept full responsibility for their actions on your account.

5. Description of the Service

5.1 What StudyPal Does

StudyPal is an AI-powered learning platform that helps students study more effectively. Core features include:

Quiz Generation: Upload your study materials (notes, PDFs, videos) and we use AI to generate personalized practice quizzes from them.
AI Tutoring: Conversational AI assistance to help you understand topics in your uploaded materials.
Progress Analytics: Tracking of your quiz performance to identify topics where you need more practice.
Group Contests: Competitive and collaborative study sessions with other StudyPal users.
Study Groups: Shared workspaces for groups of learners.

5.2 Free Tier vs. Paid Subscriptions

The Free Tier provides access to core features within defined usage limits (such as monthly AI credit quotas and storage limits). Paid Subscriptions (Pro, Pro Max, and Super Pro Max) offer higher limits, more advanced AI models, and additional features.

We reserve the right to adjust Free Tier limits, features, and quotas at any time. We will provide notice of material reductions to the Free Tier in accordance with Section 17. Continued use of the Service after such changes constitutes acceptance.

5.3 Service Availability

We aim to provide reliable access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control. We are not liable for any interruption in service availability.

6. User-Generated Content and Uploads

6.1 Your Ownership

You retain all ownership rights in the User Content you upload to the Service. These Terms do not transfer ownership of your User Content to us.

6.2 License You Grant to StudyPal

By uploading or submitting User Content to the Service, you grant WATULAB DIGITAL a worldwide, non-exclusive, royalty-free license to:

(a) store, host, and back up your User Content; (b) process, analyze, and transform your User Content using AI and other technologies for the purpose of generating quizzes, tutoring responses, analytics, and other Service features; (c) display your User Content to you and (where you have chosen to share it) to other users you authorize; and (d) perform any other technical actions necessary to provide and improve the Service.

This license exists only for as long as you use the Service and for a reasonable period afterward (as described in our Privacy Policy). We do not sell your User Content to third parties.

6.3 Your Responsibility for What You Upload

You are solely responsible for the User Content you upload. You represent and warrant that:

(a) you own the User Content or have all rights, permissions, and consents necessary to upload it and grant us the license above; (b) your User Content does not infringe the copyright, trademark, patent, trade secret, privacy, or other rights of any third party; (c) your User Content does not violate any applicable law.

StudyPal is not responsible for User Content uploaded by users. If you upload copyrighted material (such as textbook excerpts or recorded lectures) without authorization, that is your legal responsibility.

6.4 Our Right to Review and Remove Content

We are not obligated to pre-screen User Content, but we reserve the right (and have the right, not the obligation) to review, refuse, edit, or remove any User Content that we believe, in our sole discretion, violates these Terms, applicable law, or is otherwise objectionable.

7. AI-Generated Content Disclaimer

7.1 AI Outputs May Contain Errors

The Service uses AI to generate quizzes, explanations, and tutoring responses. AI-Generated Content may contain mistakes, inaccuracies, outdated information, or content that does not reflect the source material accurately. You should not rely solely on AI-Generated Content for academic assessment, professional purposes, or any high-stakes decision.

7.2 Not a Substitute for Professional Instruction

StudyPal is a study aid, not a replacement for qualified teachers, educators, or professional tutors. The Service does not guarantee any specific academic outcome, grade improvement, or educational result.

7.3 You Are Responsible for Verifying Outputs

Always verify AI-Generated Content against your original source materials and other authoritative references before relying on it. We are not liable for any harm resulting from your reliance on AI-Generated Content.

7.4 Content May Reflect Training Limitations

AI models have knowledge cutoff dates, potential biases, and limitations. The Service does not represent that AI-Generated Content is complete, current, or free of bias.

8. Intellectual Property

8.1 StudyPal's Intellectual Property

The Service — including its software, design, branding, logos, interface, and underlying technology — is owned by WATULAB DIGITAL and is protected by intellectual property laws. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works based on the Service or any part of it without our prior written consent.

8.2 Your User Content

As stated in Section 6, you retain ownership of the User Content you upload. We do not claim ownership over it.

8.3 AI-Generated Content Ownership

Quizzes, explanations, and other outputs generated by the Service from your User Content are generated by AI on your behalf. To the extent any intellectual property rights exist in AI-Generated Content, we assign those rights to you, subject to the following:

(a) AI-Generated Content derived from third-party copyrighted material (e.g., a textbook you uploaded) may itself be subject to the copyright of that original work. We make no representation about the copyright status of AI-Generated Content, and you are responsible for ensuring your use of it is lawful. (b) We retain the right to use AI-Generated Content in aggregated, anonymized, and de-identified form to improve the Service (e.g., to evaluate the quality of AI outputs).

8.4 Feedback

If you provide feedback or suggestions to us about the Service, you grant us the right to use that feedback without obligation to you.

9. Subscriptions, Billing, and Refunds

9.1 Subscription Plans

We offer paid Subscription plans with varying features and usage limits. Current plans and pricing are described on our Pricing Page. We reserve the right to add, modify, or discontinue subscription plans with reasonable notice.

9.2 Payment

Subscriptions are billed monthly. Payment is collected via mobile money (M-Pesa, Tigo Pesa/Mixx, Airtel Money, HaloPesa) through our payment processor, ClickPesa. Payment is pull-based (you receive a payment prompt on your phone and must authorize each payment) — there is no automatic card-on-file charge.

All fees are stated in Tanzanian Shillings (TZS) inclusive of applicable processing fees. Prices displayed are the total amount you will be asked to authorize.

9.3 Subscription Renewal

Your subscription renews monthly. You will receive a renewal reminder notification before your cycle ends. Renewal is not automatic — you must actively confirm payment each month from your account Settings, which sends an instant payment prompt to your phone. If you do not renew before your cycle ends, your account enters a 3-day grace period before being downgraded to the Free Tier.

9.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle. You will retain access to paid features until the end of that cycle.

9.5 Refunds

Because payment is pull-based and you authorize each payment manually, we do not offer refunds for monthly subscription payments once authorized. If you believe a payment was made in error (for example, due to a technical fault on our end), contact us at support@watulab.com within 7 days of the payment and we will investigate.

9.6 Price Changes

We may change subscription prices at any time. We will provide at least 30 days' notice of price increases via email and in-app notification. Continued use of a paid Subscription after the effective date of a price change constitutes acceptance of the new price.

10. Group Contests and Social Features

10.1 Code of Conduct

When using group contests, study groups, or any other social features of the Service, you agree to:

(a) treat other users with respect; (b) not harass, bully, threaten, or discriminate against other users; (c) not use offensive, hateful, or inappropriate language; (d) compete honestly and not engage in cheating.

10.2 Prohibited Behavior in Social Features

In connection with group or social features, you specifically may not:

(a) share another user's personal information or uploaded materials without their explicit consent; (b) use bots, scripts, or automated tools to gain an unfair advantage in contests; (c) collude with others to manipulate contest results; (d) impersonate another user or person.

10.3 Content Visibility

Content you share within a study group is visible to members of that group. Leaderboard positions and usernames may be visible to other contest participants. For full details on what other users can see, please see our Privacy Policy.

10.4 Moderation

We reserve the right, but are not obligated, to monitor group and social features for violations of these Terms. We may remove content, issue warnings, or suspend or terminate accounts that violate these Terms or our community standards.

11. Prohibited Uses

You agree not to use the Service to:

(a) violate any applicable law or regulation; (b) upload, transmit, or distribute content that is defamatory, obscene, pornographic, hateful, threatening, or otherwise objectionable; (c) upload content that infringes the intellectual property rights of any third party; (d) upload content that contains the personal data of other individuals without their consent (for example, uploading a class roster or student records); (e) upload malware, viruses, or any other harmful code; (f) scrape, crawl, or systematically extract data from the Service using automated tools; (g) reverse engineer, decompile, or attempt to extract the source code of the Service or our AI models; (h) resell, sublicense, or otherwise commercialize access to the Service without our written authorization; (i) share your account credentials or allow others to access your account; (j) circumvent any usage limits, technical restrictions, or security features; (k) use the Service to develop a competing product or service; (l) interfere with or disrupt the integrity or performance of the Service or the data of other users.

12. Termination and Suspension

12.1 Termination by You

You may delete your account at any time from your account settings or by contacting us at support@watulab.com. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

12.2 Suspension or Termination by StudyPal

We may suspend or terminate your account, with or without notice, if:

(a) you violate these Terms; (b) we are required to do so by law or a legal authority; (c) your use of the Service poses a risk to us, other users, or third parties; (d) you engage in fraudulent or abusive conduct; or (e) your account has been inactive for an extended period (we will provide notice before terminating inactive accounts).

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 6.3, 8.1, 13, 14, 15, 16, and 18 of these Terms survive termination. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

13. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that:

the Service will meet your specific requirements;
the Service will be available, uninterrupted, timely, secure, or error-free at all times;
any results obtained from the Service will be accurate or reliable;
AI-Generated Content will be accurate, complete, or free of errors.

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATULAB DIGITAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO STUDYPAL IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR (B) TZS 10,000.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) on which the claim is based.

15. Indemnification

You agree to defend, indemnify, and hold harmless WATULAB DIGITAL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

(a) your use of the Service in violation of these Terms; (b) your User Content, including any allegation that it infringes a third party's intellectual property or privacy rights; (c) your violation of any applicable law or regulation; or (d) your conduct toward other users of the Service.

We reserve the right, at our expense, to assume control of the defense of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims.

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict-of-law provisions.

16.2 Informal Resolution First

Before initiating any formal dispute proceeding, you agree to contact us at support@watulab.com and give us 30 days to attempt to resolve the issue informally.

16.3 Jurisdiction

If we cannot resolve a dispute informally within 30 days, you and WATULAB DIGITAL agree to submit to the exclusive jurisdiction of the courts of Tanzania for resolution of any dispute.

16.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any claims must be brought on an individual basis and not as a class action or representative proceeding.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

(a) post the updated Terms on the Service with a new "Last Updated" date; (b) notify you by email (to the address on your account) or by prominent in-app notification, at least 14 days before the changes take effect.

If you continue to use the Service after the updated Terms take effect, you are agreeing to the new Terms. If you do not agree, you must stop using the Service and may delete your account.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and WATULAB DIGITAL with respect to the Service and supersede all prior agreements on the same subject.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms on one occasion does not constitute a waiver of that right or provision in the future.

18.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets, provided we give you notice.

18.5 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of government, internet outages, power failures, or civil unrest.

18.6 Language

These Terms are written in English. If translated, the English version controls in the event of any conflict.
